Newport Gold Inc. Announces Divestiture of Digital Assets and Change of Strategic Direction

TORONTO, ON January 31, 2025 / Newport Gold Inc. (OTC PINK: NWPG) (the "Company") announces that it has divested all digital assets under its control including the nearme.cool website and all associated trademarks.

Newport Gold Inc. will explore all strategic alternatives to maximize shareholder value.  As part of the evaluation process, the Company will explore potential strategic alternatives that may include, but are not limited to, a sale, merger, strategic business combination or other transaction. The Company cannot assure that its exploration will result in the Company pursuing a transaction or that any transaction, if pursued, will be completed on attractive terms, if at all. The Company has not set a timetable for completion of the evaluation process and does not intend to disclose further developments unless and until it is determined that further disclosure is appropriate.

During this time the Company expects to transition from OTCQB to the Expert Market.
