Issue of Shares to the Trustee of the M.P. Evans Group 2018 Employees' Benefit Trust ("EBT") and Total Voting Rights

Issue of Shares to EBT

The Company announces that, following the admission of 50,000 shares of 10 pence each ("Shares") in the Company to trade on AIM on 28 April 2023, 50,000 Shares were allotted on 2 May 2023 to the EBT for the purpose of satisfying future vestings of awards granted under the M.P. Evans Group PLC Long Term Incentive Scheme. The new Shares will rank pari passu with the existing Shares in the Company.

Total Voting Rights

In conformity with Rule 5.6.1 of the Disclosure Guidance and Transparency Rules, the Company notifies the market that following the allotment of 50,000 of its Shares the Company's issued share capital comprises 53,910,937 shares of 10p each ("Shares"). All of the Shares have equal voting rights and there are no Shares held in Treasury. 

This figure of 53,910,937 Shares represents the total voting rights in the Company and may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
