Result of General Meeting, Admission of Placing Shares and Total Voting Rights

Mila Resources Plc (LSE:MILA), the post-discovery gold exploration accelerator, is pleased to announce that all resolutions were duly passed at the Company's General Meeting ('GM') held earlier today.

Accordingly, the Company has applied for admission of the 200,000,000 new ordinary shares issued under the placing to raise £2 million at 1 pence per share ("Placing Shares") to be admitted to trading on the Official List and the London Stock Exchange ("Admission") from 8.00 a.m. on 9 November 2023.  The Placing Shares shall have one warrant attached with an exercise price of 2 pence for a period of two years from the date of admission.

The Placing Shares will rank pari passu in all respects with the existing issued Ordinary Shares, including the right to receive all dividends or other distributions declared, made or paid after the date of their issue and in respect of voting rights.

Total Voting Rights

In accordance with the FCA's Disclosure Guidance and Transparency Rules, the Company confirms that following Admission, the Company's enlarged issued ordinary share capital will comprise 536,817,108 Ordinary Shares. The Company does not hold any Ordinary Shares in Treasury. Therefore, following Admission, the above figure may be used by shareholders in the Company as the denominator for the calculations to determine if they are required to notify their interest in, or a change to their interest in the Company, under the FCA's Disclosure Guidance and Transparency Rules.
