Reference is made to the announcement of the Company dated 10 October 2025 in relation to the Circular and the Notice of General Meeting.  

Capitalised terms used but not otherwise defined in this announcement shall have the meanings ascribed to such terms in the Circular, unless the context requires otherwise.

The Company announces that NOIA no longer intends to transfer 50% of the Subscription Shares to Accrete Capital SPV and that, as a result, Mr Ali Shekofti will no longer be joining the board JADE.
