GTFN Holdings Inc. Announces Certain Developments Regarding its Potential Anchor Prospect

 [London, UK ] – January 3, 2024 [NEWS RELEASE ISSUER]-- GTFN Holdings, Inc. (OTCPK: BTOW), an emerging public company in the secure comms space, has been engaged with a prospective anchor customer (the "Anchor Prospect") since 2023 to launch its solutions amongst the Anchor Prospect's potentially millions of customers. GFTN has spent over a year customizing its pre-existing solution to meet the needs of the Anchor Prospect, who confirmed that the customized solution was ready to launch in Q4 2023 following their own internal assessment - for potential mass adoption in their home market.  

On December 18, 2023, the US Securities and Exchange Commission (“SEC”) filed a complaint against the Anchor Prospect (Tingo Group, Inc., NASDAQ: TIO), affiliated entities, and its founder and CEO Mmobuosi Odogwu Banye a/k/a Dozy Mmobuosi.  The complaint alleges, amongst other things, that the Anchor Prospect and Mmobuosi have been engaged in repeated acts of fraud and willful misconduct. The SEC’s complaint, filed in U.S. District Court for the Southern District of New York, charges all four defendants with violating the anti-fraud provisions of the federal securities laws and additionally charges Nasdaq-listed Tingo Group, OTC-traded Agri-Fintech, and Mmobuosi with reporting, books and records, and internal controls violations (“SEC Complaint”).The SEC’s investigation is ongoing.

Given the allegations in the SEC Complaint, and the failure of the Anchor Prospect to launch our product as anticipated in Q4 2023, we cannot be assured at this stage - nor do we have any visibility on - whether or not we will achieve any meaningful activity with this Anchor Prospect.  We are actively exploring other potential options, but there can be no assurance that these will materialize at this stage.
