Appointment of Non-Executive Director and Chair of the Marketing Committee

Information disclosed in accordance with paragraph 6.4.6R of the Financial Conduct Authority's UK Listing Rules.

Following a formal recruitment process and a search conducted by an independent agency, the Board of the Company is pleased to announce the appointment of Roland Spencer as a non-executive director of the Company with effect from 19 February 2026.  From this date, Roland will also chair the Marketing Committee, in place of David Warnock.

Roland has twenty-five years' experience in the financial sector, including eighteen years in the UK direct‑to‑consumer investments and platform market. His most recent role was Head of New Business at AJ Bell where he previously held a number of senior positions covering AJ Bell Media, corporate development, marketing and product proposition between 2012 to 2025. A recognised industry expert, Roland is a regular speaker at events on retail investor engagement.

Roland Spencer, and his Persons Closely Associated to him, do not own any Income shares or Growth shares in the Company and his election will be proposed to shareholders for approval at the Annual General Meeting of the Company currently scheduled to be held in September 2026.

There is no other information required to be disclosed pursuant to paragraph 6.4.8R of the Financial Conduct Authority's UK Listing Rules in relation to this appointment.
