Churchill China PLC 22 June 2001 Directors, Substantial Shareholders and Shareholders' Share Transactions The Company has today been notified of the following share transactions on 22 June 2001. Directors' Dealings Mr J.N.E.Sparey purchased 5,000 ordinary shares in the Company at a price of 186p per share. This transaction represents 0.05 per cent of the issued share capital. Following the transaction Mr J.N.E.Sparey has a beneficial interest in 10,000 ordinary shares, being 0.09 per cent of the issued share capital. Mr R.S.Kettel purchased 2,000 ordinary shares in the Company at a price of 186p per share. This transaction represents 0.02 per cent of the issued share capital. Following the transaction Mr R.S.Kettel has a beneficial interest in 12,000 ordinary shares being 0.11 per cent of the issued share capital. Mrs J.M.Taylor, wife of Mr D.J.S.Taylor, purchased 500 ordinary shares in the Company at a price of 186p per share. This transaction represents 0.005 per cent of the issued share capital. Following the transaction Mr D.J.S.Taylor has a beneficial interest in 8,000 ordinary shares being 0.08 per cent of the issued share capital. Substantial Shareholders' Dealings Mr M.J.Roper and Mrs G.Roper sold 18,250 ordinary shares at a price of 186p per share. Following the transaction Mr M.J. Roper and Mrs G.Roper have a beneficial interest in 1,164,870 ordinary shares being 10.9 per cent of the issued share capital. Shareholders' Dealings Family trusts of the adult children of Mr E.S.Roper, a Director of the Company, purchased 10,750 ordinary shares in the Company at a price of 186p per share. This transaction represents 0.1 per cent of the issued share capital. Mr E.S.Roper does not have an interest, either beneficial or non beneficial, in these shares.
