AGM Statement
Newsplayer Group plc ('Newsplayer' or the 'Company'), the leading enabler of
audio-visual content through the application of digital technology, announces
that at the Annual General Meeting of the Company (the 'AGM') held earlier today
resolutions numbered 1, 2, 4, 5, 6 and 7 set out in the notice of AGM dated 28
April 2004 were passed. Resolution number 3 relating to the re-election of David
Wiseman as a Director of the Company was not tabled for approval. Michael
Rosenberg was duly re-elected as a Director.
As a result of the passing of resolution number 7 relating to the change of name
of the Company, it is expected that the Company's name will change to Catalyst
Media Group plc with effect from 8.00 a.m. tomorrow morning. At the same time,
the ticker code under which the Company's ordinary shares trade on AIM will
change from NPG to CMX.
At the AGM, the Company's CEO, Paul Duffen, gave the following update:
'A great deal has happened since the end of the financial year and I would like
to take this opportunity to update shareholders. We have made two significant
acquisitions: Global Media Services in September 2003 and Betelgeuse Productions
in February this year. I am pleased to report that both businesses are
performing to expectations and have integrated well into the Group as
demonstrated by the success they had working together to win the production
contract for the Champ Car race series which will generate $6 million of revenue
in 2004. The Group is now profitable on a monthly basis and I am confident that
we will make a profit for the current financial year overall.
'Today marks the change of the Company's name to Catalyst Media Group plc, which
should be effective from tomorrow along with the change of our ticker symbol on
the London Stock Exchange to CMX. Our business has evolved greatly since the
launch of Newsplayer.com four years ago and we are now firmly established as the
leading enabler of audio-visual content through the application of digital
technology. I believe that the new name better reflects this position and the
diversity within the Group.
'We have announced that we are embarking on the acquisition of Alternateport
which owns 20% of Satellite Information Services. SIS provides bookmakers with
live television pictures, data display systems and broadcast services. I believe
that SIS is an exceptional business and that our experience of combining
interactive technology with live video using Internet Protocol will offer SIS
some exciting opportunities to expand its range of services. We have been
granted a period of exclusivity until 28 July 2004 to complete the acquisition
and will be undertaking a placing with institutional and other investors to
raise the necessary funds.
'The business is in good shape and we will continue to seek opportunities to
grow through acquisition as well as organically. We have much to accomplish and
I am confident that the recent addition of Steven Smith as CFO and Michael
Rosenberg as a Non-executive Director will be a significant contribution to
achieving those goals.'
