2024 Annual General Meeting Voting Outcome Update

As announced on 16 July 2024, Burberry Group plc received more than 20% votes against Resolution 11, the re-election of Antoine de Saint-Affrique as a Director of the Company at the 2024 Annual General Meeting ("AGM").

Through ongoing shareholder engagement, the Board understands that certain shareholders voted against Mr de Saint-Affrique's re-election due to concerns about the number of his other listed directorships and the potential impact on his time commitment to Burberry. The Company has therefore continued to engage with significant shareholders who opposed the re-election to discuss their concerns.

Mr de Saint-Affrique has consistently demonstrated his ability to fulfil his obligations as a Director including during exceptionally demanding periods and the Board continues to believe that he has the capacity to devote sufficient time to effectively discharge his duties.

On 18 December 2024, the Company announced that Mr de Saint-Affrique will retire from the Board as a Non-Executive Director following the AGM to be held in July 2025. As such, the Company believes that the matter has been resolved and will not continue to consult shareholders on this topic. 

The Board continues to be committed to shareholder engagement and any shareholders wishing to discuss this or any other topic with the Chair can do so by contacting the Company Secretary.  A final update will be provided in the Annual Report and Accounts 2024/25.
