Block Listing of Ordinary Shares

Application has been made to the Financial Conduct Authority and the London Stock Exchange for a block listing of 4,300,000 ordinary shares of £0.01 each in the capital of the Company (the "Shares") to be admitted to the Official List of the Financial Conduct Authority and to trading on the Main Market of the London Stock Exchange. It is anticipated that the Shares will be admitted on 29 June 2023.

The Shares are being reserved under a block listing and will be issued, as and when required, to the Company's current and former directors and employees in accordance with the terms of the Breedon Group Performance Share Plans, UK Savings Related Share Option Schemes and Irish Savings Related Share Option Schemes.

When issued, the Shares will rank pari passu in all respects with the existing issued shares of the Company.
