CALGARY, Dec. 20 /CNW/ - Matthew C. Campbell, Chief Executive Officer and a director of Rocky Mountain Dealerships Inc. ("RMDI") indirectly acquired beneficial ownership of 2,708,306 common shares ("RMDI Shares") of RMDI pursuant to a share purchase agreement dated December 20, 2007 whereby RMDI acquired all of the issued and outstanding shares of Hammer Equipment Sales Limited from the shareholders thereof for cash and shares (the "Acquisition").
Mr. Campbell is the controlling shareholder of 840545 Alberta Ltd. and 1367601 Alberta Ltd. which companies together received an aggregate of $21,549,941 cash and 2,708,306 RMDI Shares arising from the Acquisition. As such, Mr. Campbell, through the indirect beneficial ownership of both 840545 Alberta Ltd. and 1367601 Alberta Ltd., is the beneficial owner of 2,708,305 RMDI Shares representing 23% of the issued and outstanding RMDI Shares.
