Under the terms of the plan, awards will (which are structured\nas options to acquire shares in the company with a zero exercise price) be\nsatisfied by using shares purchased in the market. Newly issued or treasury\nshares cannot be used to satisfy awards under this plan. No directors of the\ncompany can participate in the scheme. Under the rules, the awards are subject\nto uplift for notional dividends made or paid during the vesting period. The\nawards will normally become capable of exercise after the end of the vesting\nperiod and must be exercised within 90 days thereafter.
