(\"\n \n BISP\n \n \") pursuant to which the Company will acquire all of the issued and outstanding common shares of BISP (the \"\n \n Transaction\n \n \"). BISP is a\n \n British Columbia\n \n corporation which has an agreement to acquire certain offshore oil and gas blocks in the Republic of\n \n Namibia\n \n (as further described below).
