Announces Filing Of Early Warning Report\n(TheNewswire)\n\n\nMarch 26, 2026\n– VANCOUVER, BRITISH\nCOLUMBIA – TheNewswire\n- Planet Ventures Inc.\n(​CSE: PXI​) (the “Company” or “Planet Ventures”)\nannounces the filing of an early warning report (the “Early Warning Report”) pursuant to the requirements of National Instrument\n62-103 – The Early Warning\nSystem and Related Take-Over Bid and Insider Reporting\nIssues (“NI 62-103”) and National Instrument 62-104\n– Take-Over Bids and Issuer\nBids (“NI 62-104”) in connection with the\nCompany’s acquisition of common shares (the “Common Shares”) in the\ncapital of Leocor Mining Inc. (“Leocor”) pursuant\nto a private placement of units of Leocor (the “Units”) completed\non March 26, 2026 (the “Offering”).  Leocor\nis a reporting issuer in the reporting jurisdictions of British\nColumbia, Alberta and Ontario and its Common Shares are listed on the\nCanadian Securities Exchange (“CSE”) under the trading symbol\n“LECR”.\n\n\n \n\n\nThe Company acquired the Units consisting of 20,000,000\nCommon Shares and 20,000,000 transferable Common Share purchase\nwarrants (“Warrants”) upon completion of the Offering\n(the “Acquisition”). As a result of the\nAcquisition, the Acquiror beneficially owns an aggregate 34,855,083\nCommon Shares, representing 17.58% of 198,232,402 Common Shares issued\nand outstanding post-closing of the Offering, on a non-diluted basis,\nand Warrants exercisable into 24,000,000 Common Shares. The Warrants\nare subject to a blocker provision providing that the Acquiror shall\nnot be entitled to exercise any Warrants to the extent that, after\ngiving effect to such exercise, the Acquiror would beneficially own\nmore than 20% of the Common Shares issued and outstanding at the time\nof exercise.\n\n\n \n\n\nThis news release is being issued in connection with\nthe filing of the Early Warning Report pursuant to the requirements of\nNI 62-103 and NI 62-104.
