This transaction marks PharmaCorp’s first acquisition under its charter company structure, which was established through the purchase completed on April 30, 2025. In addition, PharmaCorp has entered into a non-binding letter of intent to acquire two pharmacies in Atlantic Canada (the “\n \n Atlantic Canada LOI\n \n ”), is providing an update on the four transactions previously announced on May 29, 2025, and has filed its Q2 Investor Presentation.\n \n\n\n Acquisition\n \n\n\n PharmaCorp has entered into a definitive share purchase agreement, dated September 3, 2025 (the “\n \n Agreement\n \n ”), to acquire from arm’s length vendors (the “\n \n Vendors\n \n ”) a 100% interest in a PharmaChoice Canada bannered pharmacy business located in Eastern Canada. The purchase price for the Acquisition is $5,300,000, subject to customary adjustments (the “\n \n Purchase Price\n \n ”). The Purchase Price will be satisfied by cash on hand and available funds under the Corporation’s credit facility. Closing of the Acquisition is expected to occur on or about October 1, 2025, subject to satisfaction of customary closing conditions.
