Confirmation of Adjournment of Court Meeting & GM
International Personal Finance Plc (IPF) announced that the Court Meeting and General Meeting originally scheduled for February 11, 2026, have been adjourned and will now take place on March 11, 2026, at 12:00 noon and 12:15 p.m. respectively. This adjournment follows feedback from IPF Shareholders and will allow for the publication of IPF's results for the year ended December 31, 2025, which are expected on February 25, 2026. The meetings are in relation to the recommended cash acquisition of IPF by IPF Parent Holdings Limited, a company within the BasePoint Capital LLC group, which was initially announced on December 24, 2025. The Acquisition is to be effected by means of a Court-sanctioned Scheme of Arrangement under Part 26 of the Companies Act 2006 (the \"Scheme\").\nThe circular in relation to the Scheme (the \"Scheme Document\") was published on 15 January 2026. This announcement should be read in conjunction with the Scheme Document. Unless otherwise defined, capitalised terms used in this announcement have the same meanings as set out in the Scheme Document.\nOn 10 February 2026, IPF made an announcement (the \"Adjournment Announcement\") stating that the IPF Directors had decided, following feedback from some IPF Shareholders, that the Court Meeting and General Meeting should occur following the publication of IPF's results for the year ended 31 December 2025, expected to occur on 25 February 2026, and had consequently determined to adjourn the Court Meeting and General Meeting, which were originally scheduled for 11 February 2026.\nFurther to the Adjournment Announcement, the IPF Directors confirm that the Court Meeting and the General Meeting were duly adjourned earlier today.
