(TSXV: IOT or the\n“Company”) is pleased to announce that\neffective January 1, 2026,  it has completed a horizontal short-form\namalgamation pursuant to the Business Corporations Act (Alberta)\nwhereby the Company's two wholly-owned subsidiaries Innovotech\nLabs Corporation and Keystone Labs Inc. have been amalgamated with the\nresulting amalgamated company continuing on as Innovotech Labs\nCorporation while maintaining the same articles, directors and\nofficers as prior to the completion of the amalgamation.\n\n\n \n\n\nBy consolidating laboratory operations under the one\nentity of Innovotech Labs Corporation, the Company expects to\nstreamline processes, reduce duplication and present an integrated and\neasier-to-navigate suite of laboratory services to its clients.
