(“\n \n \n Kinam\n \n \n ”) to explore\nand evaluate certain fee lands and unpatented mining claims in Lassen\nCounty, California known as the Hayden Hill Property (the\n“\n \n \n Property\n \n \n ”), including the past-producing Hayden Hill gold mine.\n Under this agreement, the Company has the option to purchase all of\nthe shares of Lassen Gold Mining Inc. (“\n \n \n Lassen\n \n \n ”), a Nevada\ncorporation and wholly owned subsidiary of Kinam that holds all right,\ntitle and a 100% undivided interest in the Property.  Kinam acquired\nthe Property in 1998 from AMAX Gold Inc., (“\n \n \n AMAX\n \n \n ”).\n \n \n \n \n The Hayden Hill open pit mine, carbon-in-pulp mill, and\nheap leach plant were in operation by AMAX from 1992 – 1997.  Heap\nleach processing continued through 2000 by Kinam.  Total processed\nmaterial was approximately 31 million tons at a head grade of 0.024\ntroy ounces of gold per ton, with 483,000 troy ounces of gold and 1.4\nmillion troy ounces of silver recovered.
