(the \"Manager\") is pleased to announce\n that it has today entered into a purchase agreement (the \"Agreement\")\n with Cambridge Asset Management Inc. (\"Cambridge\") under which\n Cambridge will become the manager of, and assume the management\n agreement governing, Lawrence Enterprise Fund Inc. (the \"Fund\").  The\n Manager, directly or through its predecessors, has been managing the\n Fund since its inception in October 2001.\n\n\nCompletion of the sale, which is expected to occur on or about December\n 14, 2012, is subject to certain closing conditions including approval\n of the Fund's shareholders, regulatory approval, and other customary\n closing conditions.
