[{"type":"text","content":"\n European Motor Hldgs PLC\n01 July 2005\n\n\nEuropean Motor Holdings plc - Result of EGM\n\n\n1 July 2005\n\n\nEuropean Motor Holdings plc (the \"Company\") proposed acquisition of Smith Knight\nFay (Holdings) Limited\n\n\n\nEuropean Motor Holdings plc today announces that the resolution regarding the\nacquisition of Smith Knight Fay (Holdings) Limited, as detailed in the circular\nto shareholders dated 15 June 2005, was proposed at the extraordinary general\nmeeting of the Company held today and was duly passed.\n\n For Against Withheld\nThe number of proxy votes cast on the 22,749,790 452,251 306,174\nresolution is as follows:\n\n\nAccordingly the Company is pleased to announce the successful completion of the\nacquisition, following the satisfaction of all conditions of the sale and\npurchase agreement.\n\n\nThe Company has today issued and allotted 603,378 new ordinary shares to Mr.\nGraham Knight pursuant to the Sale and Purchase agreement.
