(\"Royal Host\") 6.25% convertible debentures\n maturing June 30, 2019 (\"Series D Debentures\") at a price of $900 per\n $1,000 of principal, convertible into 8,857 common shares, and $80,000\n principal amount of the 6.25% convertible debentures maturing October\n 31, 2020 (\"Series B Debentures\") at a price of $910 per $1,000 of\n principal amount, convertible into 22,857 common shares. On an as\n converted basis, such securities represent 0.19% of the common shares.\n\n\nClarke owns the following securities of Royal Host: 6,109,768 common\n shares, $3,980,000 principal amount of the Series B Debentures,\n convertible into 1,137,143 common shares, $6,176,000 principal amount\n of the 7.50% convertible debentures maturing September 30, 2018\n (\"Series C Debentures\"), convertible into 1,764,571 common shares, and\n $7,351,000 principal amount of the Series D Debentures, convertible\n into 2,100,286 common shares. On an as converted basis, such securities\n represent 51.97% of the common shares.\n\n\nThe purchase of the Royal Host debentures by Clarke was made for\n investment purposes.
