Brown\n \n \n \n \n \n \n \n \n \n \n - Re-appointing DeVisser Gray LLP, Chartered\nProfessional Accountants, as auditor of the Company for the ensuing\nyear and authorizing the directors to determine the auditor’s\ncompensation;\n \n \n \n \n \n \n \n \n - Approving the Company’s stock option plan for the\nensuing year;\n \n \n \n \n \n \n \n \n - Approving a special resolution authorizing the\nconsolidation of the issued and outstanding common shares of the\nCompany on the basis of one (1) post-consolidation common share for up\nto every four (4) pre-consolidation common shares of the Company (the\n“Share Consolidation”); and\n \n \n \n \n \n \n \n \n - Approving a special resolution approving the adoption\nof new articles of the Company.\n \n \n \n \n \n \n A total of 35,656,509 common shares of the Company were\nvoted at the AGM, representing approximately 27.23% of the issued and\noutstanding common shares of the Company.\n \n \n \n \n Following the AGM, the Company will submit the Share\nConsolidation application to the TSX Venture Exchange (the\n“Exchange”).  The effective date of the Share Consolidation and\nthe resulting new CUSIP and ISIN numbers for the post-consolidation\nshares will be announced at a later date.
