Imaging Dynamics Company Ltd. Announces Filing of (Final) Short Form Prospectus

CALGARY, May 7 /CNW/ - Imaging Dynamics Company Ltd. ("IDC" or the "Corporation") (TSX: IDL), a healthcare technology company that develops and markets digital X-ray imaging systems, is pleased to announce that it has filed a (final) short form prospectus in respect of a public offering (the "Offering") of units (the "Units") of the Corporation, each Unit consisting of one common share (a "Common Share") in the capital of the Corporation and one transferable Common Share purchase warrant (a "Warrant"). Each Warrant is exercisable into one Common Share at an exercise price of $0.40 per Common Share, subject to adjustment in certain events, at any time on or before 4:30 p.m. (Calgary time) on the date (the "First Exercise Date") that is 12 months after the date of closing of the Offering (the "Closing Date") and at an exercise price of $0.50 per Common Share, subject to adjustment in certain events, at any time from 4:30 p.m. (Calgary Time) on the First Exercise Date until 4:30 p.m. (Calgary time) on the date that is 24 months after the Closing Date. The Units will separate into Common Shares and Warrants immediately upon issue.

The Offering will be led by Paradigm Capital Inc. and will include Jennings Capital Inc. (collectively, the "Agents") to offer a minimum of 23,880,598 Units and a maximum of 32,835,820 Units on a fully marketed, best-efforts basis at a price of $0.335 per Unit (the "Offering Price") for total gross proceeds of $8,000,000 if the minimum offering is subscribed for and $11,000,000 if the maximum offering is subscribed for.

The Corporation has agreed to grant to the Agents an over-allotment option, exercisable in whole or in part in the sole discretion of the Agents at any time or from time to time until that date which is 30 days after the Closing Date, to purchase at the Offering Price that number of additional Units (the "Over-allotment Units") equal to up to 15% of the number of Units sold under the Offering.

The Corporation has agreed to pay a fee equal to 6% of the gross proceeds of the Offering to the Agents in connection with the sale of the Units and the Over-allotment Units. The Corporation has also agreed to grant to the Agents that number of warrants (the "Agents' Warrants") equal to 6% of the number of Units and Over-allotment Units sold under the Offering. Each whole Agents' Warrant will entitle the holder to acquire one Common Share at the Offering Price at any time until that date which is 24 months after the Closing Date.

The net proceeds of the Offering will be used by the Corporation (i) to train and upgrade the Corporation's distribution channels, (ii) to increase its cash reserves for future research and development opportunities , (iii) to reduce indebtedness under the Corporation's credit facility, and (iv) to reduce arrears for the supply of goods and services by Elcan Optical Technologies, A Division of Raytheon Canada Limited ("Elcan") to the Corporation by approximately US$4 million, pursuant to a forbearance agreement (the "Forbearance Agreement") dated April 17, 2008.

All Common Shares issued pursuant to the Offering will be freely tradable under applicable securities laws in force in Canada. The Offering is anticipated to close on or about May 14, 2008 and is subject to certain conditions, including, but not limited to, completion of due diligence by the Agents and the receipt of all necessary approvals, including the approval of the Toronto Stock Exchange.

In addition to the Offering, the Corporation has agreed to conduct a non-brokered private placement (the "Private Placement") of an aggregate of 895,522 Units with two of the Corporation's directors on the same terms as the Offering for gross proceeds to the Corporation of approximately $300,000. The Private Placement is expected to close on or about May 14, 2008.
