Nevertheless, your attention is drawn to the letter from the Chair which commences on page 4 of this document and the recommendation that you vote in favour of the resolutions to be proposed at the Annual General Meeting referred to below. This document should be read in conjunction with the Notice of Annual General Meeting set out at the end of this document and the accompanying Proxy Form for use in connection with the meeting. Notice of the Annual General Meeting of Harworth Group plc, to be held at 10.00 am on 18 May 2026, is set out at the end of this document. To be valid, a Proxy Form for use at the meeting should be completed in accordance with the instructions thereon, signed and returned so as to be received by the Company's Registrars, Equiniti Limited, Aspect House, Spencer Road, Lancing, West Sussex, BN99 6DA as soon as possible but in any event not later than 10.00 am on 14 May 2026. You may appoint a proxy in CREST by completing and transmitting a CREST proxy instruction to Equiniti Limited so that it is received no later than 10.00 am on 14 May 2026. Institutional investors may be able to use the Proxymity platform to appoint a proxy instruction to be received by Equiniti Limited by no later than 10.00 am on 14 May 2026. Completion of the Proxy Form will not preclude a Shareholder from attending and voting at the meeting in person.
