In connection with the holding of the Company's 2026 Extraordinary General Shareholders' Meeting, and in compliance with applicable regulations, we hereby provide full details regarding its convening, attendance quorum and the outcome of the resolutions adopted therein, in accordance with the agenda included in the notice of meeting published by the Company on March the 5th 2026.

The 2026 Extraordinary General Shareholders' Meeting was held exclusively by telematic means, on first call, on 6 April 2026 at 09:00 a.m., under the chairmanship of Mr Alberto Hernández Poza, with Mr Francisco José Bengoechea Cordero acting as Secretary.

Set out below is the full information regarding the resolutions adopted at the meeting, together with the documentation and presentations delivered, in accordance with the following table of contents:

  1. Letter from the Chairman of the Board of Directors

    Dear Shareholders,

    I am writing to you following the Extraordinary General Shareholders' Meeting held on 6 April 2026, at a significant moment in the evolution of Energy Technologies.

    First and foremost, I would like to thank shareholders for their participation and support, as reflected in the approval of the resolutions submitted for voting, with a quorum representing 89.78% of the share capital. This endorsement reinforces the Company's institutional stability and facilitates the execution of its strategic plan.

    The 2025 financial year has marked a turning point for Energy Technologies. The Company has achieved revenues of €81.2 million and adjusted EBITDA of €11.1 million, reflecting significant growth in activity and a meaningful improvement in profitability. These results demonstrate the strength of the business model and its ability to generate earnings across different market environments.

    During the year, the Company has continued to make progress in consolidating an integrated model combining engineering, generation, manufacturing and energy solutions capabilities, progressively evolving towards an energy and digital infrastructure platform with an international outlook.

    In this context, it is worth highlighting the progress of the Valdelugo project, conceived as a proof-of-concept for modular, energy-powered data centre infrastructure, the development of which will be carried out progressively through modules of approximately 1.5 MW. This project represents a key element within the Company's strategy focused on businesses with greater scalability and visibility.

    At the same time, the Company continues to advance its internationalisation process, particularly through its modular solutions, with the aim of expanding its presence in international markets and diversifying its sources of revenue.

    The Company is currently in a phase of evolution that also entails certain challenges. Among these, particular note should be made of the need to continue progressing towards a shareholder structure aligned with the strategic project and the current growth phase of the Company. To this end, the Board of Directors and the management team are actively analysing alternatives aimed at strengthening shareholder stability.

    In addition, the Company remains focused on enhancing its visibility in the capital markets and reducing the gap between its intrinsic value and its market valuation, through strengthened investor communication and the progressive development of analyst coverage.

    Looking ahead to 2026, the Company will continue to advance in the execution of its strategy, with a particular focus on the development of new business lines linked to energy and digital infrastructure, as well as on the consolidation of its international expansion.

    On 6 April 2026, the Company's Extraordinary General Shareholders' Meeting was held by telematic means, on first call, having been duly convened on March the 5th 2026 by means of a notice published on the Company's corporate website, as well as on the websites of BME Growth and Euronext Growth, through the publication of Other Relevant Information and a press release, respectively.

    At the aforementioned Extraordinary General Meeting:

    90 shareholders, representing 63.05% of the share capital, cast advance votes.

    470 shareholders, representing 25.77% of the share capital, delegated their votes or were represented without having cast an advance vote.

    24 shareholders attended remotely, representing 0.92% of the share capital.

    2 shareholders, representing 0.04% of the share capital, delegated their vote or were represented with an advance vote.

    In total, including those present and those represented, 586 shareholders participated, representing 89.78% of the share capital with voting rights.

    The Company further announces that all proposed resolutions submitted to the Extraordinary General Shareholders' Meeting were duly approved by the majorities indicated below. The full text of such resolutions is attached to this communication.

    FIRST POINT.- Update and evolution of ongoing judicial proceedings with shareholders who have acted disloyally towards the Company, including actions taken and planned.

    THIRD POINT.- Appointment of MR BERNARDINO MESEGUER GALINDO as an independent Director of the Company for the statutory term, ratifying his appointment by co-option.

    TENTH POINT.- Amendment of the Articles of Association to safeguard the interests of minority shareholders by adding a new article [19] under the heading "Statutory regime of public takeover bids and control of the company". This amendment provides for the Company's voluntary submission to the regime set out in Chapter V of Title IV of Law 6/2023 on the Securities Markets and Investment Services and the automatic suspension of the voting rights corresponding to shares acquired, or aggregated voting rights, in breach of that regime.

    In accordance with the provisions of the Spanish Companies Act (Ley de Sociedades de Capital) applicable to amendments of the articles of association of listed companies, the full text approved corresponds to that included in the explanatory report of the administrative body published on the date of the notice of the General Meeting, the wording of which is reproduced below:

    "Article 19. Statutory regime for takeover bids and corporate control discipline.

    1. The acquisition, whether direct or indirect, individual or concerted, of shares or other voting rights in the Company which results, in accordance with the principles and criteria set out in securities market regulations and the Company's internal regulations, in the taking of control of the Company, shall be

      subject to the obligation to launch a takeover bid addressed to all of the Company's shares.

    2. For the purposes of this article, control shall be deemed to exist in the circumstances provided for from time to time under the applicable regulations governing takeover bids and, in particular, where a shareholding equal to or greater than thirty per cent (30%) of the share capital carrying voting rights is acquired, or where an equivalent position of control is obtained by any other means permitted by law or under the Company's internal regulations.

    3. The obligation to launch a takeover bid shall also apply to cases of indirect or subsequent acquisition of control, as well as to situations involving concerted action, shareholder agreements, aggregation of voting rights or any other legal arrangements or circumstances which, individually or jointly, result or may result in a person or group of persons acquiring control of the Company within the meaning of the applicable regulations and the Company's internal regulations.

    4. The takeover bid referred to in this article must be made under conditions that ensure transparency, equal treatment of all shareholders and the protection of minority shareholders' interests, in accordance with the principles underlying securities market legislation.

    5. Failure to comply with the obligation to launch a takeover bid under the terms set out in this article shall give rise to the consequences provided for under securities market regulations, including the suspension of the exercise of voting rights attached to all securities of the Company held by the obliged party under any title, including those held indirectly and those corresponding to persons acting in concert with it, in accordance with applicable regulations. While such non-compliance persists, those voting rights may not be exercised. Any resolutions adopted shall be null and void where, for their valid constitution or adoption, it would have been necessary to count the securities whose voting rights have been suspended in accordance with this article."

    ELEVENTH POINT.- Amendment of Article [13.1] of the Articles of Association concerning the composition of the Board of Directors, fixing the minimum number of directors at seven (7) members.

    In accordance with the provisions of the Spanish Companies Act applicable to amendments of the articles of association of listed companies, the full text approved corresponds to that included in the explanatory report of the administrative body published on the date of the notice of the General Meeting, the wording of which is reproduced below:

    "The Company shall be managed by a Board of Directors composed of a minimum of seven and a maximum of nine members."

    TWELFTH POINT.- Amendment of Article [6.2] of the Articles of Association to read as follows: "Without prejudice to the foregoing, a shareholder who receives an offer from another shareholder or from a third party for the purchase of a stake that would result in the acquirer holding a controlling interest (more than 30 per cent of the capital) may not transfer the said stake unless the prospective acquirer offers to purchase the shares of all shareholders on the same terms and in compliance with the public takeover bid requirements of the applicable regulations."

    In accordance with the provisions of the Spanish Companies Act applicable to amendments of the articles of association of listed companies, the full text approved corresponds to that included in the explanatory report of the administrative body published on the date of the notice of the General Meeting, the wording of which is reproduced below:

    "Without prejudice to the foregoing, where a shareholder receives a purchase offer from another shareholder or from a third party which would result in the acquirer holding, directly or indirectly, a controlling interest and, in any event, where it reaches a percentage of voting rights equal to or greater than 30%, the transfer of such participation shall only be effective vis-à-vis the Company if the acquirer launches an offer addressed to all shareholders under the conditions provided for in the takeover bid regulations."

    THIRTEENTH POINT.- Amendment of the Articles of Association to safeguard the interests of minority shareholders by incorporating a new Article [6.3] under the heading "Statutory regime on acquisition of control by concentration of voting rights". This new article establishes a regime applicable to the direct or indirect, individual or concerted acquisition of a stake equal to or greater than thirty per cent (30 %) of the share capital for the purpose of determining control of the Company under Chapter V of Title IV of Law 6/2023 of 17 March on the Securities Markets and Investment Services. It imposes an obligation to launch a public takeover bid for all the shares and regulates the suspension of voting rights in the event of non-compliance.

    In accordance with the provisions of the Spanish Companies Act applicable to amendments of the articles of association of listed companies, the full text approved corresponds to that included in the explanatory report of the administrative body published on the date of the notice of the General Meeting, the wording of which is reproduced below:

    "Article 6.3. Statutory regime for the acquisition of control through concentration of voting rights.

    Any person who acquires, directly or indirectly, individually or jointly with related persons or persons acting in concert, a controlling interest in the Company shall be required to launch a takeover bid addressed to all shares and all shareholders on equal terms. For these purposes, a controlling interest shall be deemed to exist where a shareholding equal to or greater than thirty per cent (30%) of the voting rights in the Company is reached or exceeded, or, even without reaching such percentage, where it is possible to appoint, or has been appointed, a number of members of the management body representing more than half of its members. Until such offer is made, the consequences provided for under securities market regulations shall apply, including the suspension of the exercise of voting rights attached to the affected shares or voting rights, including those held indirectly or through related or concerted persons. Any corporate resolutions whose valid constitution or adoption would have required the counting of such voting rights shall be null and void.

    This article does not restrict the free transferability of shares, regulating exclusively the statutory consequences arising from failure to comply with the obligation set out herein."

    FOURTEENTH POINT.- Authorisation and delegation of powers to formalise, register and implement the resolutions adopted by the General Meeting.

    At the request of Mr Manuel de Luis Lamelas, acting as representative of Erbienergía Inversiones, S.L. and also on behalf of the shareholders who have formally delegated their voting rights to him by public deed, the following items, requested pursuant to the Spanish Companies Act, are included in the Agenda:

    FIFTEENTH POINT.- Dismissal of Mr Alberto Hernández Poza as a member of the Company's Board of Directors.

    SIXTEENTH POINT.- Exercise of the corporate action for liability, pursuant to Article 238 of the Spanish Companies Act, against Mr Alberto Hernández Poza, Mr Juan Bonilla Hidalgo, Mr Alfredo García Flores, Mr Antonio Garcia-Urgelés Capdevila and Mr Alberto Mazagatos Uriarte.

    SEVENTEENTH POINT Revocation of the appointment of directors appointed by co-option.

    EIGHTEENTH POINT.- Amendment of the number of members of the Company's Board of Directors, fixing it at three (3) members.

    NINETEENTH POINT.- Appointment of directors of the Company.

    TWENTIETH PONT.- Requests and questions.

    Items FIFTEENTH to NINETEENTH of the agenda were not submitted for deliberation or voting, firstly due to the existence of an interim relief order (inaudita parte) ordering the suspension of the items intended to be submitted for voting within the framework of the meeting convened through the Commercial Registry, such order necessarily extending its effects to the same items included on the agenda of the General Meeting held on 6 April 2026, as they relate to identical matters promoted by the same shareholder; secondly, because the same underlying factual situation is sub judice in both civil and criminal proceedings, given that their potential approval would essentially produce the legal effects whose lawfulness is precisely the subject matter of those ongoing proceedings; and finally, because the prior approval of the preceding items on the agenda has resulted in the subsequent loss of purpose and effectiveness of items FIFTEENTH to NINETEENTH, which have thus become materially devoid of content.

    Notwithstanding the foregoing, votes representing 98.8% of the attending quorum, whether present, represented or voting in advance, had already been recorded in respect of such agenda items, such that their approval was mathematically impossible in light of the preliminary results already available, which were as follows:



    Finally, it is expressly recorded that, in respect of certain shareholders and in relation to specific agenda items, there exists a situation of conflict of interest that is permanent, structural and fundamentally incompatible with the exercise of voting rights, within the meaning of Article 190.3 of the Spanish Companies Act, due to a direct, objective and material conflict between their personal interest, arising from their procedural, economic and personal position vis-à-vis the Company, and the corporate interest. Such circumstance materially vitiates the votes cast in relation to those items and, accordingly, the Company has announced that it will take all appropriate legal actions to seek their annulment, without prejudice to the fact

    that such annulment would in no event alter the final outcome of the approval or rejection of the resolutions adopted or rejected.

DECIMO.- Modificación de los Estatutos Sociales para garantizar los intereses de los accionistas minoritarios mediante la incorporación de un nuevo artículo [19] bajo la rúbrica "Régimen estatutario de ofertas públicas de adquisición y disciplina del control societario", estableciendo el sometimiento voluntario de la Sociedad al régimen previsto en el Capítulo V del Título IV de la Ley 6/2023 de los Mercados de Valores y de los Servicios de Inversión, así como la suspensión automática de los derechos políticos correspondientes a las acciones adquiridas o derechos políticos agrupados en infracción de dicho régimen.

UNDECIMO.- Modificación del artículo [13.1] de los Estatutos Sociales relativo a la composición del Consejo de Administración, fijando el número mínimo de consejeros en siete (7) miembros.

DUODECIMO.- Modificar el artículo 6.2 de los Estatutos para que rece: "Sin perjuicio de lo anterior, al accionista que reciba una oferta de compra de otro accionista o de un tercero que determine que el adquirente vaya a ostentar una participación de control (más del 30% del capital) no podrá transmitir la aludida participación a menos que el potencial adquirente ofrezca a la totalidad de los accionistas la compra de sus acciones en las mismas condiciones y cumpliendo con las exigencias de oferta pública de adquisición de la normativa vigente"



Orden del día

DECIMOTERCERO.- Modificación de los Estatutos Sociales para garantizar los intereses de los accionistas minoritarios mediante la incorporación de un nuevo artículo 6.3 bajo la rúbrica "Régimen estatutario de adquisición de control por concentración de derechos políticos, estableciendo un régimen aplicable a la adquisición directa o indirecta, individual o concertada, de una participación igual o superior al treinta por ciento (30 %) del capital social para determinar el control de la Sociedad en los términos previstos en el Capítulo V del Título IV de la Ley 6/2023, de 17 de marzo, de los Mercados de Valores y de los Servicios de Inversión, imponiendo la obligación de formular una oferta pública de adquisición por la totalidad de las acciones y regulando la suspensión de los derechos políticos en caso de incumplimiento.

DECIMOCUARTO.- Autorización y delegación de facultades para la formalización, inscripción y ejecución de los acuerdos adoptados por la Junta General.

A requerimiento de D. Manuel de Luis Lamelas, en su condición de representante de Erbienergía Inversiones, S.L., y actuando asimismo en representación de los accionistas que le han conferido delegación formal de sus derechos de voto mediante escritura pública, se incluyen en el Orden del Día los siguientes puntos solicitados conforme a lo previsto en la Ley de Sociedades de Capital.

DECIMOQUINTO.- Cese de D. Alberto Hernández Poza como miembro del consejo de administración de la Sociedad.

DECIMOSEXTO.- De conformidad con lo dispuesto en el artículo 238 de la Ley de Sociedades de Capital, ejercicio de la acción social de responsabilidad contra D. Alberto Hernández Poza, D. Juan Bonilla Hidalgo, D. Alfredo García Flores, D. Antonio Garcia-Urgelés Capdevila y D. Alberto Mazagatos Uriarte.

DECIMOSEPTIMO.- Revocación del nombramiento de los consejeros nombrados por cooptación.

Executive Summary

  • El Grupo ha cerrado el ejercicio 2025 con un EBITDA ajustado* reportado de

    11.100.000 euros, multiplicando x1,57 con respecto al ejercicio 2024.

  • El Grupo multiplica sus ingresos x1,28 con una cifra de 81.154.220 euros, que suponen un récord histórico y que pone de relieve el éxito de las sinergias entre las unidades de negocio de la compañía. Un modelo único y estable.

  • Respecto al precio mayorista, la comparación del periodo es de 65,52 €/MWh vs 62,89

    €/MWh en 2024 (+4%). No obstante, el Grupo se ha visto afectado por el bajo rendimiento del Parque Eólico Valdelugo, debido a diferentes averías de interconexión de red eléctrica e incidencias técnicas en el primer semestre que supusieron una pérdida de EBITDA de entorno 1.736.385 de euros. Los futuros del año 2026 se estiman en una media de 66,71 €/MWh.

    Cifras clave

  • Fondos propios: El patrimonio neto de la compañía asciende a 48.246.235 euros.

  • Deuda financiera neta: A cierre del ejercicio la deuda financiera neta es de 7.052.749 euros, representando este importe 0,63 veces el EBITDA ajustado*. El Grupo ha amortizado 3.282.050 euros de capital correspondiente a deudas con entidades financieras. De igual forma la compañía mantiene un ratio de 0,15 veces el patrimonio neto.

  • Solidez financiera: La deuda financiera bruta de la compañía se mantiene en un ratio de 0,30 veces respecto al patrimonio neto, ascendiendo a 14.006.048 euros, correspondiendo el 50% al Project Finance del parque eólico.

Instalación de outsourcing energético de 3MW en la fábrica de productos médicos Drylock Technologies en Segovia. Con la ampliación de la marquesina fotovoltaica en la zona de aparcamiento, la cobertura de autoconsumo de la demanda energética total de la planta alcanza casi el 45%, con un total de 5.000 paneles solares instalados.

Pastisfred

Instalación de outsourcing energético de 1.115 kWp en la fábrica de repostería y confitería industrial de Pastisfred en Tarragona. Con esta instalación, el autoconsumo de la demanda energética total de la planta alcanza casi el 20%, gracias a sus 1.772 paneles solares.

Siemens y Sarpel crean una de las primeras subestaciones digitales en España

  • La subestación digital de El Conde, ubicada en Palencia para la evacuación de energía de los proyectos Parque Eólico Casa Vieja, Parque Eólico Los Pedrejones y Planta Fotovoltaica El Conde, es la primera instalación en implementar soluciones digitales.

El proyecto Balbona consiste en el desarrollo de la infraestructura de evacuación para la planta solar del mismo nombre. El alcance incluye la construcción de la subestación Balbona 33/132 kV, la línea de transmisión Balbona 132 kV, la subestación Alquería 132/400 kV y la línea de transmisión Alquería 400 kV.

Ambas subestaciones se han implementado como subestaciones digitales e incorporan E-Houses fabricadas por Sarpel.

En cuanto a la obra civil, se han utilizado cimentaciones prefabricadas en el parque de intemperie.

El Romero Solar

El Romero Solar producirá energía equivalente al consumo de unos 240.000 hogares chilenos. 80 MW de su capacidad va destinada a suministrar al centro de datos de Google en el país, esta es capaz de generar anualmente unos 493 GWh de energía limpia, evitando la emisión a la atmósfera de unas 474.000 toneladas de CO2 en centrales de carbón.

La planta El Romero Solar se extiende sobre una superficie de 280 hectáreas en una de las regiones más áridas del planeta, con elevada irradiación solar y una atmósfera muy limpia, que facilita la captación de energía. En su conjunto, la planta cuenta con 776.000 módulos fotovoltaicos de silicio policristalino que totalizan una superficie de captación solar de más de 1,5 millones de m2, equivalente a 211 campos de fútbol profesionales. Los paneles van instalados sobre estructuras metálicas estáticas que, alineadas, sumarían 196 km.

En 2020, Energy Technologies participó de forma decisiva en uno de los desarrollos eólicos más complejos ejecutados en España: la implantación de los parques eólicos de Iberdrola en Asturias. El proyecto se desarrolló en un entorno de alta complejidad orográfica y climática, con accesos muy limitados, fuertes pendientes y condiciones meteorológicas cambiantes, lo que exigió una planificación técnica y logística de primer nivel.

Energy Technologies aportó su experiencia en ingeniería eléctrica, ejecución en campo y coordinación de trabajos, asegurando la correcta integración de las infraestructuras eléctricas de los parques, el cumplimiento de los plazos y los estándares de calidad y seguridad exigidos por Iberdrola. Su intervención fue clave para viabilizar el montaje de aerogeneradores de gran tamaño en zonas de montaña, contribuyendo a que el proyecto avanzara conforme a lo previsto y con un alto impacto positivo en el tejido industrial local

      Parque Eólico Encinillas

      El Parque Eólico Encinillas se encuentra situado en la provincia de Palencia. La potencia total del parque es de 23,4 MW, los que suman 7 aerogeneradores General Electric GE 3.8-137 50Hz HH 111.5 m de 3,8 MW de potencia unitaria. La generación de energía limpia estimada para este parque es de 105 GWh/año. La conexión a la red eléctrica se ha realizado mediante la ampliación de la subestación Carrutero. Para ello se ha construido una nueva posición de línea de 132 kV. En el Parque Eólico se ha construido una nueva subestación elevadora 132/30 kV con un transformador de potencia de 36 MVA, y un edificio de control con celdas de 30 kV para la llegada de los circuitos de aerogeneradores.

      Para la interconexión entre la subestación elevadora del Parque Eólico y la posición de interconexión con la red, se ha construido una nueva línea eléctrica aérea en 132 kV de 5,16 km y 28 apoyos metálicos de alta tensión. La red de media tensión, que interconecta los aerogeneradores entre sí y con la subestación elevadora, es de más de 35 km de cable de media tensión en 30 kV.

En la sede de Arteixo se encuentra instalado el "cerebro" de Inditex. Se trata del Centro de Proceso de Datos (CPD) del grupo. Este CPD se caracteriza por haber obtenido la certificación TIER IV que acredita la máxima fiabilidad de un CPD con una disponibilidad del 99,99%. En España solo existen cinco empresas con este nivel de certificación. Para lograr esta acreditación el CPD debe disponer de instalaciones redundantes en cuanto a circuitos eléctricos, refrigeración y red.

Descripción de los trabajos realizados por el Grupo Energy Technologies:

Instalación eléctrica de este CPD, que dispone de una configuración en espejo con doble alimentación de potencia 1.600KVA cada uno conectada en anillo, dos grupos de dos generadores de emergencia de 1.000 KVA y un doble sistema de alimentación ininterrumpida (SAI).

En enero de 2019 fue puesta en servicio la subestación perteneciente a FINANCIERA MADERERA S.A. para la alimentación a 132kV de su factoría sita en el Polígono Industrial San Cibrao das Viñas, en la provincia de Orense. Esta subestación y la línea subterránea que conecta la misma con la subestación de UFD fue ejecutada por el Grupo Energy Technologies en la modalidad de EPC excepto la aparamenta interior en la subestación de compañía. El inicio de la actividad en la factoría fue en el mes de agosto de 2018, por lo que el plazo de ejecución del proyecto fue de 7 meses.

Descripción de los trabajos realizados por el Grupo Energy Technologies:

Construcción civil, suministro y montaje electromecánico de la línea subterránea, en la modalidad "llave en mano", en la que se incluye, Ingeniería básica y de desarrollo de obra civil y montaje electromecánico, así como la confección, visado y tramitación de los proyectos ante la Delegación de la Consellería de Industria. La construcción de la línea subterránea ha consistido en el suministro y tendido de terna de cables enterrados a través de canalización
