[{"type":"text","content":"\n Zoo Digital Group PLC\n27 September 2006\n\nFor immediate release 27 September 2006\n\n\n\n ZOO Digital Group plc\n ('ZOO' or the 'Company')\n\n\n Result of Extraordinary General Meeting ('EGM')\n\n\n\nZOO is pleased to announce that at its EGM held earlier today, all the\nresolutions proposed at the EGM were duly passed.\n\n\n\nOn 4 September 2006 the Company announced a fundraising of £3.98 million (after\nexpenses) by way of the issue of £3.496 million unsecured convertible loan stock\nof the Company and the issue of 110,000,000 new ordinary shares of 0.2 pence\neach (the 'Placing Shares') (together 'the Fundraising') conditional, inter\nalia, on the passing of the resolutions at the EGM. The resolutions were\ndetailed in the notice of EGM contained in a circular (the 'Circular') posted to\nshareholders on 4 September 2006.\n\n\n\nAccordingly application has been made for the admission of the Placing Shares\nand the 16,153,846 new ordinary shares in aggregate being subscribed for by\nNoble & Company Limited and KBC Peel Hunt Ltd in lieu of placing commission, to\ntrading on AIM ('Admission'). It is expected that trading on AIM in such shares\nwill commence on 28 September 2006.
