(“Zonetail” or the “Company”) (TSX-V:\nZONE) announces that it has changed its auditor from MNP, LLP (the\n\"Former Auditor\") to Jones O’Connell, LLP, (the\n\"Successor Auditor\") effective January 19, 2026. The Former\nAuditor resigned as auditor of the Company January 19, 2026 and the\nboard of directors of the Company appointed the Successor Auditor as\nthe new auditor until the next Annual General Meeting of the Company.\nThe change of auditor is primarily as a result of the cost of doing\nthe audit.\n\n \n\nThe Company confirms that there have been no modified\nopinions in the Former Auditor's reports for the two most\nrecently completed financial years or for any period subsequent to the\nmost recently completed period for which an audit report was issued.\nThe Company's board of directors and audit committee each\napproved the resignation of the Former Auditor and the appointment of\nthe Successor Auditor in place of the Former Auditor; there were no\nreportable events (as defined in National Instrument 51-102) in\nconnection with each of the Former Auditor's audit of the Company\nwhich occurred prior to their resignation as auditors of the Company;\nand the Notice of Change of Auditor was approved by the Company's\nboard of directors.\n\n \n\nIn accordance with National Instrument 51-102, the\nNotice of Change of Auditor, together with the required letters from\nthe Former Auditor and the Successor Auditor, have been reviewed by\nthe audit committee and the board of directors and have been filed on\nSEDAR.\n\n \n\nNeither the TSX Venture Exchange nor\nits Regulation Services Provider (as that term is defined in the\npolicies of the TSX Venture Exchange) accepts responsibility for the\nadequacy or accuracy of this release.\n\n \n\nAbout Zonetail\n\n\nZonetail Inc.
