(\"Xander\") at a price of $0.19 per Unit pursuant to a private placement offering undertaken by Xander (the \"Offering\"). The Units are comprised of 1,315,790 common shares and 1,315,790 share purchase warrants. Each warrant entitles the holder to purchase one additional share at a price of $0.25 per share within three (3) years from the date of closing.Prior to the closing of the Offering, Zimtu did not own or control any securities of Xander.
