(\"TTI\") whereunder CERF LP has agreed to issue to TTI\nlimited partnership units of CERF LP (\"Units\") in full and final payment and\nsatisfaction of the principal amount of $500,000 owing by CERF LP to TTI (the\n\"Debt\"). The deemed price per Unit is $2.50 and an aggregate of 200,000 Units\nwill be issued (collectively, the \"Units for Debt Transaction\"). The Debt was\ninitially incurred by CERF LP in connection with the purchase of its business\nfrom TTI (then named 4-Way Equipment Rentals Ltd.) on June 21, 2005.\nTTI is a private Alberta Corporation controlled by Mr. Wayne Wadley.
