Yippy (YIPI) Enters Into Definitive Agreement to Acquire MC+A

Atlanta, GA, August 31, 2016 – Yippy, Inc. (“Yippy” or the “Company”) (OTCMKTS: YIPI) announced today the entering into of a definitive merger agreement to acquire Michael Cizmar + Associates, Ltd. (“MC+A”), an Illinois corporation.  According to the terms of the merger agreement, MC+A will merge with and into a wholly-owned acquisition subsidiary of Yippy, with MC+A surviving the merger and continuing as a wholly-owned subsidiary of Yippy.  The closing of the merger is subject to certain customary closing conditions, and the parties anticipate that the merger will close shortly.  The parties had previously announced the planned acquisition in May 2016 upon them entering into a non-binding letter of intent.

Yippy’s Enterprise Search division is a growing focus of the Company’s business in light of Google’s announcement of its intention to sunset the Google Search Appliance, the market’s current leading search appliance product.  It is anticipated that Mr. Cizmar will lead Yippy’s Enterprise Search division as well as remaining President of MC+A post-acquisition, which will continue to offer Google-related offerings as well as customer software development.  Through the application of IBM Watson Explorer technology to on-premises enterprise search, the Company believes that the Yippy Search Appliance will constitute a leap forward from the Google Search Appliance.
