[{"type":"text","content":"\n \nRNS Number : 0336B Xaar PLC 05 January 2018 \n\n5 January 2018\nXaar plc (the \"Company\")\nIssue of Equity Under Share Scheme and Block Listing Application\nThe Company announces that an application has been made to the Financial Conduct Authority and to the London Stock Exchange for a block listing of 1,460,544 ordinary shares of 10 pence each (\"Ordinary Shares\") to be admitted to the Official List of the FCA and to trading on the main market of the London Stock Exchange in respect of the following share schemes (the \"Share Schemes\"):\n\n\n\n\nShare Scheme\n\n\nOrdinary Shares\n\n\n\n\nXaar 2007 Sharesave Plan\n\n\n378,234\n\n\n\n\nXaar 2007 Long Term Incentive Plan\n\n\n1,082,310\n\n\n\n\nIt is expected that the block listing in respect of the 1,460,544 Ordinary Shares will become effective on 11 January 2018. The Ordinary Shares will be allotted pursuant to the rules of the Share Schemes and will rank pari passu in all respects with the existing Ordinary Shares of the Company.\nIn addition, the Company has issued 245,346 Ordinary Shares under the Xaar 2007 Sharesave Plan (\"Sharesave Shares\") as follows: 157,052 on 1 November 2017 (issuance of 278,653 Ordinary Shares of which 121,601 were through the Company's block admission), 30,148 on 7 November 2017, 7,455 on 13 November 2017, 9,052 on 14 November 2017, 15,441 on 21 November 2017, 3,727 on 30 November 2017, 3,195 on 1 December 2017, 16,081 on 4 December 2017, 1,065 on 13 December 2017, and 2,130 on 20 December 2017.\nThe Sharesave Shares rank pari passu with all existing Ordinary Shares. Application has been made to the Financial Conduct Authority and the London Stock Exchange and for admission of the Sharesave Shares to the Official List of the FCA and to trading on the main market of the London Stock Exchange. Admission of the Sharesave Shares is expected to take place on 11 January 2018.\nTotal Voting Rights\nThe Company confirms that its issued share capital consists of 78,329,296 ordinary shares of 10 pence each. There are no Ordinary Shares held in treasury. Of the 78,329,296 Ordinary Shares, 141,838 Ordinary Shares are held in the Xaar plc Share Incentive Plan trust and do not hold voting rights.\nAccordingly, the total number of voting rights in Xaar plc at the date of this notice is 78,187,458. \nIncluded in the total number of voting rights are ...
