(formerly Target Capital Inc.) (\"\n \n TCI\n \n \") (NEX: TCI.H) and Grafton Ventures Energy Holdings Corp. (\"\n \n \n Grafton\n \n \n \"), TCI and\n \n Grafton\n \n are pleased to announce that they, together with 2595456 Alberta Ltd. (\"\n \n Subco\n \n \"), a wholly-owned subsidiary of TCI, have entered into an amalgamation agreement dated\n \n March 14, 2024\n \n (the \"\n \n Amalgamation Agreement\n \n \") to complete the previously announced business combination transaction (the \"\n \n Transaction\n \n \") that will result in the reverse take-over of TCI by Grafton. Upon completion of the Transaction, TCI will carry on the oil and gas exploration and production business of\n \n Grafton\n \n under the name \"Westgate Energy Inc.\" (the \"\n \n Resulting Issuer\n \n \" or \"\n \n Westgate\n \n \"). To facilitate the name change to \"Westgate Energy Inc.\" at closing of the Transaction, TCI changed its name from \"Target Capital Inc.\" to \"763997 Alberta Ltd.\" on\n \n January 31, 2024\n \n in accordance with shareholder approval obtained by it at the annual general and special meeting of shareholders held on\n \n January 31\n \n , 2023.\n \n \n Under the terms of the Amalgamation Agreement, TCI and\n \n Grafton\n \n will complete the Transaction by way of a three-cornered amalgamation whereby Subco and\n \n Grafton\n \n will amalgamate, each common share of\n \n Grafton\n \n will be exchanged for 0.3443 common shares of the Resulting Issuer (\"\n \n Resulting Issuer Shares\n \n \"), on a post-Consolidation...
