On December 2, 2022, the Company successfully completed an offering of New Notes, satisfying the New Financing Condition to the Offer.\n \n \n The early tender deadline for the Offer was 11:59 P.M. New York City time on December 12, 2022 (the \"Early Tender Time\"). Holders who have not yet tendered their Notes have until 5:00 P.M., New York City time, on December 28, 2022, unless extended or earlier terminated by the Company in its sole and absolute discretion (such date and time, including as extended or earlier terminated, the \"Expiration Time\") to tender their Notes.\n \n \n According to information provided by the Information and Tender Agent for the Offer, $2,098,846,000 aggregate principal amount of the Notes were validly tendered and not validly withdrawn at or prior to the Early Tender Time. Subject to the satisfaction or waiver of the conditions to the Offer (as described in \"Description of the Offer - Conditions to the Offer\" in the Offer to Purchase), in the sole and absolute discretion of the Company, the Company will accept for purchase, and pay for, all of the validly tendered and not validly withdrawn Notes; such payment is expected to be made on December 14, 2022. \n \n \n Capitalized terms not otherwise defined in this announcement have the same meaning as assigned to them in the Offer to Purchase.\n \n \n Holders are advised to read carefully the Offer to Purchase for full details of, and information on the procedures for participating in, the Offer.
