Voting Information: The Company’s Board of Directors has fixed November 26, 2025 as the record date for the determination of stockholders entitled to notice of, and to vote at, the Special Meeting and at any adjournment or postponement of the meeting. Only stockholders of record of the Company’s common or preferred stock, at the close of business on the record date, will be entitled to notice of, and to vote at, the Special Meeting or any adjournment thereof.
