(the "Company") has\nissued notices of redemption to four holders of the Class "A" Preference\nShares, Series 3 (the "Preference Shares") to redeem 3,280 Preference Shares\nwith a par value of $32,800 plus all unpaid dividends of $11,808 accrued\nthereon to January 31, 2008. Three of the four holders are insiders of the\nCompany.\n\n\nThe Preference Shares, with a par value of $10 each, have a 6% cumulative\ndividend payable annually commencing January 31, 2003. The Company is entitled\nto redeem at any time any outstanding Preference Shares by paying the holder\nthereof the redemption price of $10 per Preference Share plus all unpaid\ndividends accrued thereon to the date of redemption.\n\n\nUpon the completion of the redemptions, the Company has 36,220 Class "A"\nPreference Shares, Series 3 outstanding with a par value of $362,200 plus all\nunpaid dividends of $130,392 accrued thereon to January 31, 2008.\n\n\nOn behalf of the Board of\n\n\nVITALITY PRODUCTS INC.\n\n\n"William N.
