(VRCI) was incorporated in the State of Nevada and its head office is located in Dallas, Texas. VRCI is a reporting issuer in British Columbia.¶ 2 VRCI has distributed shares in 2014 (the distributions).¶ 3 VRCI did not file a preliminary prospectus and prospectus under the Act for the distributions.¶ 4 VRCI failed to file Reports of Exempt Distribution for the distributions as required under National Instrument 45-106 Prospectus and Registration Exemptions.¶ 5 Under section 164(1) of the Act, the Executive Director orders that trading in the securities of VRCI cease until:1. either:(a) VRCI files, and the Executive Director receipts, a preliminary prospectus and prospectus for the distributions, as required under the Act, or(b) VRCI files all Reports of Exempt Distribution for the distributions as required under National Instrument 45-106 Prospectus and Registration Exemptions, and2. the Executive Director revokes this order.¶ 6 August 18, 2014Andrew S.
