[{"type":"text","content":"\n\n\n\nMISSISSAUGA, ON, June 30 /CNW/ - Tri-White Corporation (TSX: TWH)\n("Tri-White") announced today that at the annual and special meeting of\nshareholders ("ClubLink Shareholders") of ClubLink Corporation (TSX: LNK)\n("ClubLink") held earlier today in Oakville, Ontario, Canada, ClubLink\nShareholders (including a majority of minority shareholders) approved the\namalgamation (the "Amalgamation") of ClubLink and 2207610 Ontario Inc., a\nwholly-owned subsidiary of Tri-White, as described in the ClubLink Management\nInformation Circular dated May 29, 2009 (the "ClubLink Circular"). Upon\ncompletion of the Amalgamation, ClubLink will become a wholly-owned subsidiary\nof Tri-White and continue to operate under the name of ClubLink Corporation.\nOf the voting ClubLink Shareholders at today's meeting, 98.8% voted in favour\nof the Amalgamation. In addition, minority shareholders voted 94.7% in favour\nof the Amalgamation. Details of the voting results will be filed on SEDAR\n(www.sedar.com).\n\n\nAs described in the ClubLink Circular, ClubLink Shareholders, other than\nTri-White and its affiliates, are entitled to receive 1.1 common shares of\nTri-White for each common share of ClubLink.\n\n\nThe Amalgamation is expected to occur on or prior to July 31, 2009. Once\nthe Amalgamation is effective, applications will be filed to de-list the\ncommon shares of ClubLink from trading on the Toronto Stock Exchange and for\nClubLink to cease to be a reporting issuer.\n\n\nAdditionally, Tri-White announced that at its annual and special meeting\nof shareholders ("Tri- White Shareholders") held earlier today in Oakville,\nOntario, Canada, Tri-White Shareholders approved the filing of articles of\namendment to change the name of "Tri-White Corporation" to "ClubLink\nEnterprises Limited", as described in the Tri-White Management Information\nCircular dated May 29, 2009. Details of the voting results will be filed on\nSEDAR (www.sedar.com). It is expected that the articles of amendment effecting\nthe name change will be filed prior to the effective date of the Amalgamation.\n\n\nTri-White Corporation has a proven record of building and delivering\nvalue through its corporate investment operations.
