Each unit consists of one\ncommon share and one common share purchase warrant. Each warrant entitles the\nholder to purchase one common share at $0.30 per share exercisable until\nDecember 1, 2006. The shares and warrants issued hereunder are subject to a\nfour month hold period ending September 2, 2006. The Corporation anticipates\nthat the proceeds from the private placement will be used for working capital\nand possible acquisitions.\n\nTrius Investments Inc. is listed on the TSX Venture Exchange under the\nsymbol \"TRU\". Trius has two businesses, residential waste management\ncollection and automobile and truck leasing, both of which are carried on in\nthe Province of New Brunswick.
