Pursuant to the first closing of the Private Placement, the Company issued 9,574,513 units (\"Units\") for a price of $0.07 per Unit, for gross proceeds of $670,215. Each Unit is comprised of one Common Share and one Common Share purchase warrant (each, a \"Warrant\"). Each Warrant will entitle the holder to purchase one additional Common Share of Brigadier at an exercise price of $0.15 for a period of twelve (12) months from the date of issuance. In connection with the Private Placement, the Company paid cash commissions to qualified non-related parties in the aggregate amount of $35,169 and issued an aggregate of 502,415 compensation warrants entitling the holders to acquire one Common Share at a price of $0.07 per share for a period of twelve (12) months from the date of issuance. The proceeds from the Private Placement will be used to fund exploration at the Company's Nemaska2 Project, for corporate marketing campaigns, and for general working capital purposes. All Common Shares, Warrants and compensation warrants issued in connection with the Private Placement, and any Common Shares issued in connection with the exercise of Warrants or compensation warrants, will be subject to a four month hold period in accordance with applicable securities laws and the policies of the Exchange. The Company expects to complete a second and final closing for gross proceeds of approximately $110,000.
