Gross proceeds, before deducting placement agent fees and other offering expenses, are expected to be approximately $10.8 million. The offering is expected to close on October 14, 2024, subject to customary closing conditions. AC Sunshine Securities LLC is acting as sole placement agent in connection with this offering.
