[{"type":"text","content":"\n \nRNS Number : 2658E TomCo Energy PLC 15 July 2016 \n\n \n15 July 2016\nTomCo Energy plc (AIM: TOM )\n(\"TomCo\" or the \"Company\")\n \nTermination of Liquidity Facility and Intended Capital Reduction\n \nFurther to the announcement made by TomCo on 28 January 2013, the Company is pleased to announce that, by mutual consent, the Liquidity Facility Agreement (\"Facility\") entered into with Windsor Capital Partners Limited (\"Windsor\") has been terminated. \nUnder the Facility, the Company issued and allotted 100 million ordinary shares to Windsor in exchange for a Promissory Note. It was agreed that any shares not sold during the life of the Facility would be returned to the Company and cancelled. \nThe number of shares remaining under the Facility at the date of termination was 10,980,831 (the \"Remaining Shares\"). \nIn accordance with the Companies Act 2006 and the Company's Articles of Association, the board of the Company has resolved to cancel the Remaining Shares and instruct the Company's Share Regsitrar to effect such cancellation on 20 July 2016. The Company has applied to the London Stock Exchange for Admission of the Remaining Shares to be cancelled which is expected to occur on 20 July 2016.\nTotal Voting Rights\nIn accordance with the Financial Conduct Authority's Disclosure and Transparency Rules, the Company hereby announces that following cancellation of the Remaining Shares it will have 2,061,474,913 ordinary shares of no par value each in issue, none of which are held in treasury.
