[{"type":"text","content":"\n Netcentric Systems PLC\n15 January 2007\n\n\nFor immediate release\n\n\n15 January 2007\n\n Netcentric Systems Plc ('Netcentric' or the 'Company')\n \n \n Result of Extraordinary General Meeting\n \n \nThe Board of Netcentric is pleased to announce that all resolutions proposed at\nthe Extraordinary General Meeting held earlier today were passed by the\nshareholders. The resolutions approved the acquisition of The Oil Mining Company\nInc., the waiver of obligations under Rule 9 of the City Code on Takeovers and\nMergers, the amendment of the Articles of Association, the amendment of the\nMemorandum of Association, the change of name to 'TomCo Energy Plc' and the\nPlacing of 51,238,000 Ordinary Shares to raise £1,280,950 in cash before\nexpenses, as set out in the notice of Extraordinary General Meeting dated 22\nDecember 2006. The Acquisition and Placing remain conditional on Admission.\n\nOn Admission, the Concert Party will be interested in aggregate in 248,124,681\nOrdinary Shares representing approximately 59 per cent. of the Company's\nenlarged issued share capital.\n\nApplication has been made to the London Stock Exchange for the new Ordinary\nShares to be admitted to trading on AIM. Admission is expected to become\neffective and dealings in the 254,238,000 new Ordinary Shares are expected to\ncommence at 8.00 a.m. on Tuesday 16 January 2007, under the Company's new name\nof TomCo Energy Plc (AIM: TOM.L).\n\nCompletion of the Acquisition is due to take place on 16 January 2007. With\neffect from Completion, Howard Crosby will be appointed as Chief Executive\nOfficer, John May as Finance Director and John Ryan as Commercial Director.
