[{"type":"text","content":"\n \n \n 19 August 2022\n \n \n \n \n \n \n TMT INVESTMENTS PLC\n \n \n \n (\"TMT\" or the \"Company\")\n \n \n \n \n \n PDMR\n \n and Major Shareholdings\n \n \n \n \n \n \n TMT Investments Plc (AIM: TMT.L), the venture capital company investing in high-growth technology companies, announces that it was notified that on 18 August 2022 Alexander Selegenev, the Company's Executive Director, and\n Macmillan Trading Company Limited (\"Macmillan\"), owned by German Kaplun, Artemii Iniutin and Alexander Morgulchik, agreed to acquire 28,572 and\n 57,143 ordinary shares of no par\n value each\n in the Company (\"Ordinary Shares\") respectively at a price of US$3.50 per Ordinary Share (\"\n Share Acquisitions\")\n . The Ordinary Shares are to be acquired from\n Eclectic Capital Limited\n .\n \n \n \n \n \n Following the settlement of the Share Acquisitions:\n \n \n \n \n \n ·\n Artemii Iniutin\n will be interested in, in aggregate, 3,694,092 Ordinary Shares, representing 11.75% of the Company's issued ordinary share capital;\n \n \n ·\n German Kaplun will be interested in, in aggregate, 7,497,458 Ordinary Shares, representing 23.84% of the Company's issued ordinary share capital;\n \n \n ·\n Alexander Morgulchik will be interested in, in aggregate, 3,326,702 Ordinary Shares, representing 10.58% of the Company's issued ordinary share capital; and\n \n \n ·\n Alexander Selegenev will be interested in 94,384 Ordinary Shares, representing 0.30% of the Company's issued ordinary share capital.\n \n \n \n \n \n Upon settlement of the Share Acquisitions, which is expected to occur no later than 18 September 2022,\n TMT shareholdings of the members of the concert party, as defined in the City Code on Takeovers and Mergers (the \"Code\"), which currently exists in the Company, will change as follows (based on the latest information available to the Company\n and assuming no other changes in the shareholdings of the members of the concert party before the settlement\n ):\n \n \n \n \n \n \n \n \n \n \n Shareholder\n \n \n (legal holder)\n \n \n \n \n \n \n Beneficial holder\n \n \n \n \n (if different to legal holder)\n \n \n \n \n \n \n No. of Ordinary Shares\n \n \n \n \n \n \n % of issued share capital\n \n \n \n \n \n \n \n Macmillan Trading Company Limited (\"Macmillan\")\n \n \n \n \n Alexander...
