Admission of Convertible Loan Shares and TVR
THG PLC announced that 209,086,407 ordinary shares will be admitted to trading on the London Stock Exchange and the FCA's Official List on December 8, 2025, following the conversion of a convertible loan. This conversion will increase the total number of voting rights in the Company to 1,599,781,137, which shareholders will use as a denominator for notification purposes under the Disclosure Guidance and Transparency Rules. [{"type":"text","content":"\n\n5 December 2025\n \nTHG PLC\n(the \"Company\")\n \n \nAdmission of Convertible Loan Shares and Total Voting Rights\n \n \nReference is made to the loan made to the Company pursuant to the convertible loan agreement entered into between the Company and FIC ShareCo Limited (a person closely associated with Matthew Moulding) on 24 March 2025 (the \"Convertible Loan\"). Further to the announcement on 27 March 2025 confirming that the date on which the Convertible Loan would convert into ordinary voting shares of £0.005 each (\"Ordinary Shares\") would be on or from 4 December 2025, the Company announces that an application has been made to the Financial Conduct Authority (\"FCA\") and the London Stock Exchange plc (\"LSE\") for 209,086,407 Ordinary Shares to be admitted to trading on the LSE and to be admitted to the FCA's Official List. Admission of the Ordinary Shares is expected to become effective on 8 December 2025.\n \nAccordingly, following admission the total number of voting rights in the Company will be 1,599,781,137.
