(“evTS”), exclusive worldwidedistributor of FireFly ESV ® Essential Service Vehicles, to establish a Joint Venture tomanufacture and market all-electric vehicles in Eastern Europe. Both parties will work diligentlyto establish their presence in Europe, utilizing already established relationships andarrangements made by TGI management. The Parties further agreed that evTS will beresponsible for engineering and new European vehicle designs, while TGI will be responsible forbusiness development, sales, marketing, financing and dealing with the local manufacturingrequirements and workforce.
