UPON THE PUBLICATION OF THIS ANNOUNCEMENT, THIS INSIDE INFORMATION (AS DEFINED IN UK MAR) IS NOW CONSIDERED TO BE IN THE PUBLIC DOMAIN.\n \n \n23 May 2023\n \nCodex Acquisitions plc\n \n(\"Codex Acquisitions\" or the \"Company\")\n \n \nDelayed publication of audited results for the year ended 31 December 2022 and temporary suspension of listing of the Company's shares\n \nCodex Acquisitions plc, a special purpose acquisition company (SPAC) seeking suitable acquisition targets in the clean and renewable energy sector, announces that while trading remains in line with the Board's expectations, there will be a delay to the publication of the Company's audited results for the year ended 31 December 2022. Further details are outlined below.\nThe Company now informs the market that due to the delayed appointment of its auditor, PKF Littlejohn LLP, and the deadline of 30 April 2023 to the publication of the audited results for the year ended 31 December 2022, the auditor has had insufficient time to complete the audit of the Company.\nAccordingly, there will be a delay in publishing audited results for 2022 and, as a result, the Company is making a request pursuant to the Listing Rules for a temporary suspension of the listing of the Company's shares with effect from 08:00 Wednesday 24 May 2023.\nThe Company has allocated extra resources to ensure the audit process will be completed and is currently working with its auditor, PKF Littlejohn LLP.
