[{"type":"text","content":"\n RNS Number : 2050W Imaginatik PLC 15 November 2010 \n \n\n15 November 2010\n \nImaginatik plc \n(\"Imaginatik\" or the \"Company\")\n \nRequisition of General Meeting\n \nImaginatik plc announces that it has received a requisition (the \"Requisition\") for a General Meeting (\"GM\") of the Company from Mark Turrell who is the holder of ordinary shares of 0.0625 pence in the Company representing more than 35 per cent. of the Company's issued share capital.\n \nThe Requisition requires the Directors to convene a GM of the Company to consider the following resolutions as ordinary resolutions:\n \n1. THAT, Mr Matt J Cooper be and is hereby removed from office as a director of the Company with immediate effect.\n \n2. THAT, Mr Shawn K Taylor be and is hereby removed from office as a director of the Company with immediate effect.\n \n3. THAT, Mr Mark Turrell be and is hereby appointed as a director of the Company with immediate effect.\n \nThe Company will, within 21 days of 12 November 2010, prepare a response to the Requisition and send a circular to shareholders convening the requisite GM, as required by section 303 of the Companies Act 2006, which must be held within 28 days of the date of despatch of the circular. \n \nThe Company is taking legal advice as to the contents and validity of the Requisition.
