[{"type":"text","content":"\n\n11 August 2023\n \n \nSUNRISE RESOURCES PLC\n(\"Sunrise\" or \"the Company\")\n \nISSUE OF WARRANTS\n \n \nSunrise Resources plc wishes to announce as follows:\n \nIssue of Employee Warrants\n \nOn Wednesday 9 August 2023, the Board resolved to issue warrants to subscribe for Ordinary Shares in the Company as part of a long-standing annual arrangement as follows:\n \nA total of 9,000,0000 warrants over new Ordinary Shares, representing 0.22% of the Company's issued share capital, are being issued to certain employees of Tertiary Minerals plc (\"Tertiary\") working on the Company's behalf and to the two non-executive directors of the Company in connection with their remuneration as follows:\n \n\n\n\nGrantee\n\n\nNo. of Warrants\n\n\nWarrant Exercise Price (pence per share)\n\n\n\n\nTertiary Employees (4)\n \n\n\n(Total of) 4,000,000\n\n\n0.1\n\n\n\n\nNon-Executive Director\nRoger Murphy\n\n\n2,500,000\n\n\n0.1\n\n\n\n\nNon-Executive Director\nJames Cole\n\n\n2,500,000\n\n\n0.1\n\n\n\n \nThe Warrant exercise price is 0.1 pence, being the par value of the Company's Ordinary Shares. Each warrant entitles the holder to subscribe for one new Ordinary Share in the Company at the warrant exercise price at any time within the period of 4 years from 9 August 2024.\n \nThis brings the total number of warrants in issue in the Company to 85,000,000.
