("Sunrise" or the "Company")

 

Issue and Allotment of Ordinary Shares following Conversion & TVR

The Company hereby announces the conversion of an amount of £45,000 of the First Convertible Security issued on 6 December 2022, details of which were announced to the market on 7 December 2022. The First Convertible Security was issued pursuant to the Convertible Securities Issuance Deed dated 29 November 2022 as amended by a Deed of Amendment dated 2 June 2023, details of which were announced to the market on 30 November 2022 and 5 June 2023 respectively.

The Conversion Price is 0.02 pence per share and total of 225,000,000 new ordinary shares (the "Conversion Shares") fall to be issued.

Application will be made for the Conversion Shares to be admitted to trading on AIM. ("Admission"). Admission is expected to occur on or around Wednesday 20 November 2024.

Following the issue of the Conversion Shares there will be no amount outstanding for conversion or redemption on the First Convertible Note.

Total Voting Rights

For the purposes of the Disclosure and Transparency Rules of the Financial Conduct Authority, the Board of Sunrise hereby notifies the market that, following the issue of the Conversion Shares, the Company will have 5,169,980,696 shares in issue with each share carrying the right to one vote. There are no shares currently held in treasury. The total number of voting rights in the Company is therefore 5,169,980,696 and this figure may be used by shareholders as the denominator for the calculations by which they determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
