The shareholder resolutions including the nomination \nof directors, appointment of the auditor, proposal of a 10% rolling stock option \nplan and the proposal of By-law No. 2 from the Company's Shareholder Meeting \nwere approved by the shareholders of Stakeholder. Further details on the \nresolutions can be found on SEDAR. \nAt the Shareholder Meeting, shareholders approved of By-law No. \n2, a by-law relating to the nomination of directors (the \"Advance Notice \nBy-law\"). The purpose of the Advance Notice By-law is to provide shareholders, \ndirectors and management of Stakeholder with a clear framework for nominating \ndirectors.
